Constitution

Section 1: Name and Domicile

The Central office of The ASIAN COLLEGE OF NEUROPSYCHOPHARMACOLOGY (hereinafter referred to as the "AsCNP") shall be c/o A & E PLANNING CO., LTD. Hitotsubashi Bekkan 4F, 2-4-4, Hitotsubashi, Chiyoda-ku, Tokyo 101-0003, Japan or such other location as the Executive Committee may determine from time to time. AsCNP may additionally have offices at such other places as the Executive Committee may select.

The AsCNP’s working language will be English (international English)

Section 2: Objectives

2.1 Objective

It is the objective of the AsCNP to stimulate high quality experimental and clinical research, training, and education in neuropsychopharmacology, with special emphasis on coordinating and promoting the scientific activities and standards between countries in Asia.

2.2 Means to Attain the Objective

The AsCNP brings together all persons involved in or interested in the scientific study of neuropsychopharmacology by arranging scientific meetings, seminars, study groups, and other scientific activities.

The AsCNP provides guidance and information to the public on matters relevant to neuropsychopharmacology.

The AsCNP further provides a format for coordination and for development of common standards in Asia.

Section 3: Members

The membership of AsCNP is member society, individual, and corporation. Any member society, individual, and corporation actively engaged or interested in the scientific study of neuropsychopharmacology may apply for membership of the AsCNP.

There will be five categories of membership.

Members of each category should hold qualifications considered appropriate by the Executive Committee.

3.1 Society Membership

Any society in any relevant discipline located in Asia may apply and be accepted for society membership of the AsCNP. Any individual who is an ordinary member of any AsCNP member society in his/her local country in Asia is accepted for society membership of the AsCNP and has the right to vote at the Meetings.

3.2 Individual Membership

Any worker in any relevant discipline, resident in Asia, may apply and be accepted for individual membership of the AsCNP. Individual members have the right to vote at Meetings.

3.3 Corresponding Membership

Corresponding membership will be available to persons fulfilling the criteria for individual membership but who are not resident in Asia.

3.4 Corporate Membership

Industrial organizations interested in becoming corporate members of the AsCNP may be admitted by the Executive Committee.

3.5 Honorary Membership

Honorary membership may be awarded to persons of distinction by the Executive Committee.

3.6 Membership Dues

Member societies and corporate members shall pay membership fee (annually $10.00 per individual and $1,000.00 per corporation). Individual member shall pay $25 for 1 year or $100 for 5 years.

3.7 Biennial Meetings

The Members shall meet at least once every two years on a date to be determined by the Executive Committee.

Section 4: Resignation of Members

Any member is entitled to resign the membership by giving written notice of such intention at least three months before the end of the calendar year.

Section 5: Expulsion of Members

Members who are considered to have acted in such manner as to bring discredit upon the AsCNP, or who have failed to pay their membership dues for two years can be expelled by the Executive Committee. The grounds for such expulsion need not to be disclosed.

Section 6: Effect of Resignation or Expulsion

Members who resign or are expelled from the AsCNP lose all right over the common property of the AsCNP.

Section 7: Financial Resources

The funds of AsCNP are furnished by:

7.1 Membership dues;

7.2 Voluntary contributions, donations, and subsidies;

7.3 Gifts and grants;

7.4 Legacies and charitable bequests;

7.5 Interests on the assets of the AsCNP.

Section 8: Organs of the AsCNP

The organs of AsCNP are:

8.1 The General Meeting of members

8.2 The Executive Committee

8.3 The Council Meeting

Section 9: The Executive Committee

The Executive Committee will be composed of the following members: the Officers President, three or four Vice-Presidents, President-Elect, immediate Past-President, Honorary President(s), and Executive Secretary of Central Office.

The term of office will be two years. The Officers President and President-Elect cannot be re-elected to the elected position.

The Executive Committee meets at least once between the Biennial Meetings. The conditions for its summons will be established by the President. The presence of at least four committee members is required to constitute a quorum. Decisions will be passed by a majority of votes. The Executive Committee may vote by circulating letters. There will be kept proper records of the deliberations of the Executive Committee.

The members of the Executive Committee have the right and are under the duty:
  1. To manage all affairs of the AsCNP which are not specifically assigned to the General Meeting or Council Meeting, and especially to safeguard the interest of the AsCNP in general;
  2. To execute the resolutions passed by the General Meeting;
  3. To represent the AsCNP; each Officer of the Executive Committee is entitled to sign jointly with the President or the Vice-President;
  4. To summon a General Meeting;
  5. To organise the activities of the AsCNP within the scope set forth in the Constitution or in resolutions of the General Meeting;
  6. To draw up the rules and regulations necessary for the conducting of the affairs of the AsCNP.

Section 10: The Council Meeting

Councilors are selected by the Executive Committee of AsCNP. The term of office will be four years. The Councilors meet at least once between the Biennial Meetings. The conditions for its summons will be established by the President. The presence of at least one-third of the Councilors is required to constitute a quorum. Decisions will be passed by a majority of votes. The Councilors may vote by circulating letters. There will be kept proper records of the deliberations of the Councilor meeting.

Section 11: Advisers

Advisers will be appointed by the Executive Committee for a term of office of two years, at the expiration of which they will be re-eligible. Advisers can attend the Council Meeting.

Section 12: Auditors

Auditors will be appointed by the Executive Committee for a term of office of two years, at the expiration of which they will be re-eligible. Auditors attend the Council Meeting.

Section 13: Closing of accounts

The financial year of the AsCNP begins on the 1st of January and ends on the 31st of December of the same year.

Annual membership dues must be paid annually and will fall due on the end of October of the year. The auditors control and verify the inventory and accounts, the book-keeping and the funds of the AsCNP. They report to the General Meeting in writing about the balance sheet and the result of their auditing.

Section 14: Dissolution

The residual assets at the time of the dissolution of the AsCNP shall be donated to societies or organizations whose purposes are similar to the AsCNP, with the resolution of the Executive Committee.
